Please read these Terms of Service ("Terms") carefully before using the FinPerx website (finperx.com and any subdomains, collectively the "Site") or submitting any application or inquiry through the Site.
By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Site.
1. About FinPerx and These Terms
FinPerx Servicing LLC ("FinPerx," "we," "our," or "us") is a provider of revenue-based financing structured as the purchase of future receivables from eligible businesses. FinPerx is organized as a limited liability company under the laws of the State of Delaware.
These Terms govern your use of the Site, including browsing, submitting inquiries, downloading resources, and submitting financing applications. They do not govern the terms of any actual revenue-based financing transaction, which are set forth separately in a written Merchant Financing Agreement executed between FinPerx and the merchant.
2. Eligibility
The Site and FinPerx's financing services are intended solely for eligible businesses. To use the Site and submit an application, you represent and warrant that:
You are a duly organized business entity (corporation, LLC, partnership, or sole proprietorship) operating lawfully in the United States
You are authorized to act on behalf of your business and to bind your business to these Terms
Your business is not a consumer, and you are not using the Site for personal, household, or family purposes
Your business generates annual revenue of $2,500,000 or more (the "Revenue Threshold"), or you reasonably believe it will meet this threshold within the applicable period
You are at least 18 years of age
Revenue-based financing is not prohibited by applicable law in your jurisdiction
FinPerx reserves the right to verify eligibility information and to decline applications from businesses that do not meet its underwriting criteria, for any lawful reason.
3. Description of Services
3.1 Informational purposes
The Site provides general information about FinPerx's revenue-based financing products, educational resources, and downloadable materials (including the Revenue-Based Financing Term Decoder). This information is for general educational purposes only and does not constitute financial, legal, or tax advice.
3.2 Financing applications
You may submit a financing application through the Site. Submission of an application does not create any obligation on the part of FinPerx to provide financing, and does not constitute an offer or commitment to finance. Any financing offer is subject to FinPerx's underwriting approval, execution of a written Merchant Financing Agreement, and satisfaction of all conditions set forth in that agreement.
3.3 Nature of the financing product
FinPerx's product is revenue-based financing structured as a purchase of a specified amount of your future receivables for a discounted purchase price paid to you today. This transaction is structured as a sale of future receivables, not a loan. FinPerx does not charge interest. The cost of the transaction is reflected in the factor rate and total repayment amount disclosed in your offer. State-required disclosures, including APR equivalent where required, will be provided in writing at the time of your offer.
4. Use of the Site
4.1 Permitted use
You may use the Site for lawful purposes in connection with evaluating or applying for revenue-based financing for your business. You agree to provide accurate, complete, and up-to-date information in any application or inquiry you submit.
4.2 Prohibited conduct
You agree not to:
Use the Site for any unlawful purpose or in violation of any federal, state, or local law or regulation
Submit false, misleading, or fraudulent information in any application or inquiry
Impersonate another person or entity or misrepresent your authority to act on behalf of a business
Attempt to gain unauthorized access to any portion of the Site, FinPerx's systems, or the accounts of other users
Use automated means (bots, scrapers, crawlers) to access or collect information from the Site without FinPerx's prior written consent
Transmit any viruses, malware, or other harmful code through the Site
Interfere with or disrupt the integrity or performance of the Site or its underlying infrastructure
Use the Site to collect or harvest information about other users or businesses
FinPerx reserves the right to suspend or terminate access to the Site for any user who violates these Terms.
5. Accuracy of Information; No Reliance
FinPerx endeavors to keep the information on the Site accurate and current. However, we make no representations or warranties that the Site's content is complete, accurate, up to date, or free of errors. Information about financing products, rates, and availability is subject to change without notice.
The Site's educational content — including the Revenue-Based Financing Term Decoder, sample term sheet illustrations, and blog articles — is provided for general informational purposes only. It does not constitute a representation of the terms that will be offered to any particular merchant, and should not be relied upon as a substitute for professional financial or legal advice.
6. Submitted Information and Application Data
By submitting information through the Site, including financing applications, you represent that all information is truthful, accurate, and complete. You authorize FinPerx to use the submitted information to evaluate your application, conduct underwriting, verify your business and financial information, and communicate with you about your application.
You acknowledge that providing false or misleading information in connection with a financing application may constitute fraud and may result in application denial, termination of any financing agreement, and civil or criminal liability.
Our collection, use, and protection of information you submit is governed by our Privacy Policy.
7. Intellectual Property
7.1 FinPerx content
The Site and all of its content — including text, graphics, logos, the Revenue-Based Financing Term Decoder PDF, sample term sheet, blog articles, and other materials — are owned by or licensed to FinPerx and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without FinPerx's prior written permission.
7.2 Limited license for personal/business use
FinPerx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and download materials such as the Revenue-Based Financing Term Decoder solely for your own internal business evaluation purposes. This license does not include the right to resell, sublicense, or redistribute Site content.
7.3 Trademarks
"FinPerx" and the FinPerx logo are trademarks of FinPerx, LLC. You may not use these marks without FinPerx's prior written consent.
8. Third-Party Links and Services
The Site may contain links to or integrations with third-party websites, platforms, or services, including marketplace platforms (Amazon, Walmart, Shopify, WooCommerce, Etsy, eBay), payment processors, and data providers. These third-party services are not under FinPerx's control. FinPerx makes no representations about the accuracy, reliability, or privacy practices of third-party services and is not responsible for any loss or harm arising from your use of them.
9. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FINPERX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
FINPERX DOES NOT WARRANT THAT (A) THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) DEFECTS WILL BE CORRECTED; (C) THE SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SITE WILL MEET YOUR REQUIREMENTS.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FINPERX, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF FINPERX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL FINPERX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO FINPERX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. If applicable law does not permit the above limitations, FinPerx's liability will be limited to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless FinPerx and its members, managers, officers, employees, agents, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your submission of false, inaccurate, or misleading information; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party rights.
12. Arbitration Agreement and Waiver of Class Action
12.1 Binding arbitration
EXCEPT AS PROVIDED IN SECTION 12.3, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE — INCLUDING THE VALIDITY, INTERPRETATION, PERFORMANCE, BREACH, OR TERMINATION THEREOF — SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, NOT BY COURT PROCEEDINGS.
The arbitration shall be administered by the American Arbitration Association (AAA) under its then-current commercial arbitration rules.
12.2 Waiver of class action and jury trial
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY. YOU ALSO WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY DISPUTE SUBJECT TO THESE TERMS.
12.3 Exceptions
Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Nothing in this section shall prevent FinPerx from pursuing collection of amounts owed under any Merchant Financing Agreement.
12.4 Arbitration location and costs
Arbitration shall take place in New York, NY or, at the option of a business applicant, remotely by video or telephone. FinPerx will pay the arbitrator's fees and arbitration costs for disputes involving claims of $10,000 or less unless the arbitral body determines that a claim is frivolous or was brought for an improper purpose. For larger claims, fees shall be allocated per the applicable arbitration rules.
13. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. For any dispute not subject to arbitration under Section 12, you consent to the exclusive jurisdiction of the state and federal courts located in New York, NY, and waive any objection to such jurisdiction or venue.
14. No Agency or Partnership
Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and FinPerx. You do not have authority to bind FinPerx in any manner.
15. Force Majeure
FinPerx will not be liable for any delay or failure in performance of the Site or its services due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or power outages.
16. Changes to These Terms
FinPerx may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Site.
17. Termination
FinPerx reserves the right to suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections 5, 6, 7, 9, 10, 11, 12, and 13 shall survive termination of these Terms.
18. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. FinPerx's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies expressly incorporated by reference, constitute the entire agreement between you and FinPerx with respect to your use of the Site, and supersede all prior or contemporaneous agreements, understandings, and representations relating to the Site. Any revenue-based financing transaction is governed solely by the applicable written Merchant Financing Agreement.

FinPerx offers revenue-based financing structured as a purchase of your future receivables - not a loan. There is no fixed repayment term. You repay by remitting a percentage of your future sales until the agreed total amount is recovered. The total cost of financing varies based on your sales volume. Required state-specific disclosures - including annual cost metric, APR equivalent, total repayment amount, finance charges, and payment frequency - will be presented in a separate written disclosure at the time of your offer, as required by applicable law. Please read these Terms of Service ("Terms") carefully before using the FinPerx website (finperx.com and any subdomains, collectively the "Site") or submitting any application or inquiry through the Site.
By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Site.
1. About FinPerx and These Terms
FinPerx Servicing LLC ("FinPerx," "we," "our," or "us") is a provider of revenue-based financing structured as the purchase of future receivables from eligible businesses. FinPerx is organized as a limited liability company under the laws of the State of Delaware.
These Terms govern your use of the Site, including browsing, submitting inquiries, downloading resources, and submitting financing applications. They do not govern the terms of any actual revenue-based financing transaction, which are set forth separately in a written Merchant Financing Agreement executed between FinPerx and the merchant.
2. Eligibility
The Site and FinPerx's financing services are intended solely for eligible businesses. To use the Site and submit an application, you represent and warrant that:
You are a duly organized business entity (corporation, LLC, partnership, or sole proprietorship) operating lawfully in the United States
You are authorized to act on behalf of your business and to bind your business to these Terms
Your business is not a consumer, and you are not using the Site for personal, household, or family purposes
Your business generates annual revenue of $2,500,000 or more (the "Revenue Threshold"), or you reasonably believe it will meet this threshold within the applicable period
You are at least 18 years of age
Revenue-based financing is not prohibited by applicable law in your jurisdiction
FinPerx reserves the right to verify eligibility information and to decline applications from businesses that do not meet its underwriting criteria, for any lawful reason.
3. Description of Services
3.1 Informational purposes
The Site provides general information about FinPerx's revenue-based financing products, educational resources, and downloadable materials (including the Revenue-Based Financing Term Decoder). This information is for general educational purposes only and does not constitute financial, legal, or tax advice.
3.2 Financing applications
You may submit a financing application through the Site. Submission of an application does not create any obligation on the part of FinPerx to provide financing, and does not constitute an offer or commitment to finance. Any financing offer is subject to FinPerx's underwriting approval, execution of a written Merchant Financing Agreement, and satisfaction of all conditions set forth in that agreement.
3.3 Nature of the financing product
FinPerx's product is revenue-based financing structured as a purchase of a specified amount of your future receivables for a discounted purchase price paid to you today. This transaction is structured as a sale of future receivables, not a loan. FinPerx does not charge interest. The cost of the transaction is reflected in the factor rate and total repayment amount disclosed in your offer. State-required disclosures, including APR equivalent where required, will be provided in writing at the time of your offer.
4. Use of the Site
4.1 Permitted use
You may use the Site for lawful purposes in connection with evaluating or applying for revenue-based financing for your business. You agree to provide accurate, complete, and up-to-date information in any application or inquiry you submit.
4.2 Prohibited conduct
You agree not to:
Use the Site for any unlawful purpose or in violation of any federal, state, or local law or regulation
Submit false, misleading, or fraudulent information in any application or inquiry
Impersonate another person or entity or misrepresent your authority to act on behalf of a business
Attempt to gain unauthorized access to any portion of the Site, FinPerx's systems, or the accounts of other users
Use automated means (bots, scrapers, crawlers) to access or collect information from the Site without FinPerx's prior written consent
Transmit any viruses, malware, or other harmful code through the Site
Interfere with or disrupt the integrity or performance of the Site or its underlying infrastructure
Use the Site to collect or harvest information about other users or businesses
FinPerx reserves the right to suspend or terminate access to the Site for any user who violates these Terms.
5. Accuracy of Information; No Reliance
FinPerx endeavors to keep the information on the Site accurate and current. However, we make no representations or warranties that the Site's content is complete, accurate, up to date, or free of errors. Information about financing products, rates, and availability is subject to change without notice.
The Site's educational content — including the Revenue-Based Financing Term Decoder, sample term sheet illustrations, and blog articles — is provided for general informational purposes only. It does not constitute a representation of the terms that will be offered to any particular merchant, and should not be relied upon as a substitute for professional financial or legal advice.
6. Submitted Information and Application Data
By submitting information through the Site, including financing applications, you represent that all information is truthful, accurate, and complete. You authorize FinPerx to use the submitted information to evaluate your application, conduct underwriting, verify your business and financial information, and communicate with you about your application.
You acknowledge that providing false or misleading information in connection with a financing application may constitute fraud and may result in application denial, termination of any financing agreement, and civil or criminal liability.
Our collection, use, and protection of information you submit is governed by our Privacy Policy.
7. Intellectual Property
7.1 FinPerx content
The Site and all of its content — including text, graphics, logos, the Revenue-Based Financing Term Decoder PDF, sample term sheet, blog articles, and other materials — are owned by or licensed to FinPerx and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without FinPerx's prior written permission.
7.2 Limited license for personal/business use
FinPerx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and download materials such as the Revenue-Based Financing Term Decoder solely for your own internal business evaluation purposes. This license does not include the right to resell, sublicense, or redistribute Site content.
7.3 Trademarks
"FinPerx" and the FinPerx logo are trademarks of FinPerx, LLC. You may not use these marks without FinPerx's prior written consent.
8. Third-Party Links and Services
The Site may contain links to or integrations with third-party websites, platforms, or services, including marketplace platforms (Amazon, Walmart, Shopify, WooCommerce, Etsy, eBay), payment processors, and data providers. These third-party services are not under FinPerx's control. FinPerx makes no representations about the accuracy, reliability, or privacy practices of third-party services and is not responsible for any loss or harm arising from your use of them.
9. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FINPERX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
FINPERX DOES NOT WARRANT THAT (A) THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) DEFECTS WILL BE CORRECTED; (C) THE SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SITE WILL MEET YOUR REQUIREMENTS.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FINPERX, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF FINPERX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL FINPERX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO FINPERX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. If applicable law does not permit the above limitations, FinPerx's liability will be limited to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless FinPerx and its members, managers, officers, employees, agents, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your submission of false, inaccurate, or misleading information; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party rights.
12. Arbitration Agreement and Waiver of Class Action
12.1 Binding arbitration
EXCEPT AS PROVIDED IN SECTION 12.3, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE — INCLUDING THE VALIDITY, INTERPRETATION, PERFORMANCE, BREACH, OR TERMINATION THEREOF — SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, NOT BY COURT PROCEEDINGS.
The arbitration shall be administered by the American Arbitration Association (AAA) under its then-current commercial arbitration rules.
12.2 Waiver of class action and jury trial
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY. YOU ALSO WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY DISPUTE SUBJECT TO THESE TERMS.
12.3 Exceptions
Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Nothing in this section shall prevent FinPerx from pursuing collection of amounts owed under any Merchant Financing Agreement.
12.4 Arbitration location and costs
Arbitration shall take place in New York, NY or, at the option of a business applicant, remotely by video or telephone. FinPerx will pay the arbitrator's fees and arbitration costs for disputes involving claims of $10,000 or less unless the arbitral body determines that a claim is frivolous or was brought for an improper purpose. For larger claims, fees shall be allocated per the applicable arbitration rules.
13. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. For any dispute not subject to arbitration under Section 12, you consent to the exclusive jurisdiction of the state and federal courts located in New York, NY, and waive any objection to such jurisdiction or venue.
14. No Agency or Partnership
Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and FinPerx. You do not have authority to bind FinPerx in any manner.
15. Force Majeure
FinPerx will not be liable for any delay or failure in performance of the Site or its services due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or power outages.
16. Changes to These Terms
FinPerx may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Site.
17. Termination
FinPerx reserves the right to suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections 5, 6, 7, 9, 10, 11, 12, and 13 shall survive termination of these Terms.
18. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. FinPerx's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies expressly incorporated by reference, constitute the entire agreement between you and FinPerx with respect to your use of the Site, and supersede all prior or contemporaneous agreements, understandings, and representations relating to the Site.
